By accessing ShibDesk.com (“Website”), hiring ShibDesk, using any of our services, communicating with us, or entering into any form of agreement with us (whether verbally, digitally, or in writing), YOU (“Client”) AGREE TO ALL TERMS AND CONDITIONS BELOW.
If you do not agree, you must immediately discontinue all use of our services and website.


1. NO LIABILITY FOR DATA LOSS, DAMAGE, OR SERVICE OUTCOMES

ShibDesk provides IT support, technical services, consulting, and related solutions on an as-is and as-available basis.
While we always aim for accuracy and professionalism, we make no guarantees of perfect outcomes.

ShibDesk is NOT responsible or liable for:

  • Any data loss, file corruption, deletion, or missing information

  • Any hardware or software failure

  • Any downtime, loss of access, or service interruption

  • Any security breaches, hacking, unauthorized access, or malware issues

  • Any loss of revenue, profits, business, or opportunities

  • Any third-party platform errors, delays, suspensions, or decisions (including but not limited to Shopify, WordPress, Google, Meta, TikTok, Microsoft, Apple, etc.)

  • Any changes you or third parties make after we deliver work

  • Any issues caused by hosting providers, plugins, themes, apps, extensions, servers, domain registrars, etc.

  • Any client mistakes, misuse, or misunderstanding

  • Any indirect, incidental, punitive, or consequential damages of any kind

The client assumes all risks associated with any technical work performed.

ShibDesk and its owner(s), employees, contractors, partners, and affiliates are 100% indemnified and held harmless from all claims.


2. CLIENT RESPONSIBILITY

The client is solely responsible for:

  • Maintaining backups of all data

  • Securing accounts and passwords

  • Verifying accuracy of information

  • Maintaining compliance with platform rules and laws

  • Ensuring that any access granted to ShibDesk does not violate their own agreements with third parties

If the client chooses not to back up their data, the client fully accepts the risk of loss.


3. NO GUARANTEE OF RESULTS

ShibDesk does not guarantee:

  • Sales

  • Traffic

  • Marketplace approvals

  • Revenue performance

  • Platform acceptance (e.g., Walmart, Amazon, Shopify, Meta, Google, etc.)

  • SEO ranking

  • Upgrade compatibility

  • Service continuity

All services are performed on a best-effort basis.


4. INDEMNIFICATION (THIS PROTECTS YOU LEGALLY)

The client agrees to fully defend, indemnify, and hold harmless ShibDesk and its owner(s) from any and all claims, disputes, legal actions, costs, or damages, including attorney fees, arising from:

  • Their use of our services

  • Their use of the website

  • Their business decisions

  • Their content, files, accounts, or data

  • Any third-party disputes or violations

  • Any outcomes, issues, or complications following service delivery


5. PAYMENT & NON-REFUND POLICY

All payments made to ShibDesk are final, non-refundable, and non-reversible unless explicitly agreed in writing.

Work begins only after payment is received.


6. ACCESS & PERMISSIONS

By providing access, credentials, or login information to ShibDesk, the client acknowledges:

  • They voluntarily grant permission

  • They understand the risks

  • They hold ShibDesk harmless for any actions performed during the service

  • They accept that certain actions may unintentionally affect settings, plugins, themes, files, platform behavior, or other technical configurations

The client may remove access at any time.


7. ACCEPTANCE OF TERMS

By hiring ShibDesk, requesting support, receiving work, communicating with us, or submitting payment, YOU AUTOMATICALLY ACCEPT THESE TERMS AND CONDITIONS.

This acceptance applies regardless of signature, written confirmation, or verbal consent.


8. RIGHT TO REFUSE SERVICE

ShibDesk reserves the right to refuse, discontinue, or terminate service at any time for any reason.


9. GOVERNING LAW

These Terms are governed under the laws of California, USA (or your preferred state).
Any disputes must be resolved exclusively in the courts of that jurisdiction.


10. FULL AGREEMENT

These Terms constitute the entire agreement between the client and ShibDesk.
No verbal statements or outside communications override this document.
